Terms of Service

1. Acceptance of Terms

By accessing or using Polixra (the "Service"), you agree to be bound by these Terms of Service and by our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Polixra provides a multi-tenant platform for managing insurance-related operations, including policies, clients, communications (email and SMS), payments, claims, and renewals. The Service is delivered as software-as-a-service and may evolve over time as features are added or modified.

5. License & Intellectual Property

Polixra grants each paying tenant a non-exclusive, non-transferable, revocable license to access the Service for its internal business use. All software, source code, branding, trademarks and documentation remain the exclusive property of Polixra. You may not copy, resell, sublicense, reverse-engineer, or create derivative works.

6. Your Data

You retain ownership of all customer and policy data you upload. You grant Polixra a limited license to host, process and display such data solely to operate the Service for you. We never sell your data. You are responsible for the lawfulness of the data you upload, including obtaining any consents required by applicable privacy laws.

8. Fees, Trials, Auto-Renewal & Cancellation

8.1 Pricing. The current plans, prices, included module quotas, billing cycle (monthly or annual), and any usage-based add-ons (such as SMS, email or storage above the plan limits) are published at /pricing. Prices may be updated; any change applies only to renewals after a 15-day prior notice sent by email and shown in the product. Local taxes (VAT/IVA, sales tax) may be added at checkout based on your billing country.

8.2 Free trial. New tenants receive a free trial of 14 days (configurable per add-on module). No credit card is required to start. During the trial you have access to the modules selected at signup. The trial does NOT auto-convert to a paid subscription. If you do not select and confirm a paid plan before the trial ends, your account moves to a read-only state and is purged after the data-export grace period described in §14.

8.3 Paid subscriptions and authorization. Paid plans are billed in advance for the chosen cycle (monthly or annual). When you confirm a paid plan you authorize Polixra and its payment processor (Stripe) to charge the payment method on file for the plan price plus any usage overages and applicable taxes.

8.4 Auto-renewal. Paid subscriptions renew automatically at the end of each billing cycle for the same plan and cycle length, charging your payment method on file at the then-current price. Renewals are continuous until you cancel. We will send a reminder email at least 7 days before each annual renewal and at least 3 days before any price change takes effect on a renewal.

8.5 How to cancel. You can cancel auto-renewal at any time from Settings → My Company → Billing → Cancel subscription, or by emailing billing@polixra.com from the admin email on file. Cancellation takes effect at the end of the current paid period — your account remains active and fully accessible until that date. No proration or partial refund is issued for time remaining in the current period, except where required by applicable consumer law.

8.6 Refunds. Fees already paid are non-refundable except (a) where required by applicable law (for example, EU/UK 14-day right of withdrawal for new annual subscriptions when no usage has occurred, México NOM-184 cooling-off, Brazilian CDC seven-day right), or (b) when Polixra terminates the Service for reasons not attributable to you (in which case unused prepaid fees are refunded prorata). Requests for legally-mandated refunds must be submitted within the statutory window to billing@polixra.com.

8.7 Failed payments. If a charge fails we will retry up to three times within 14 days and notify you by email. If the issue is not resolved your account moves to read-only and may eventually be terminated; you remain liable for fees actually incurred.

8.8 Downgrades and module removal. You may downgrade your plan or remove paid add-on modules from the billing portal. Downgrades take effect at the next renewal; you keep the higher tier until then. Module removal stops further charges for that module but does not generate a refund for the current paid period.

9. Third-Party Services

The Service relies on third-party providers, including:

We are not responsible for failures, interruptions, delivery delays, or service quality issues caused by third parties. Your use of third-party services through Polixra is also subject to those providers' own terms.

10. Service Level & Availability

The Service is provided "as is" and "as available". We use commercially reasonable efforts to maintain availability but do not guarantee uninterrupted service. Scheduled maintenance windows may be performed with prior notice.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Polixra is not an insurance broker, underwriter or carrier and does not provide legal, tax or insurance advice. Simulated premiums and commissions are estimates only.

12. Limitation of Liability

To the maximum extent permitted by law, Polixra shall not be liable for:

POLIXRA'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You will indemnify and hold Polixra harmless against any third-party claim arising from your use of the Service, your data, your violation of these Terms, or your violation of any law (including TCPA and privacy regulations).

14. Termination

We may suspend or terminate access for:

Either party may terminate with 30 days' written notice. Upon termination you may export your data for 30 days before deletion.

15. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 15 days in advance via in-product notice and email. Continued use after the effective date constitutes acceptance of the new version.

16. Governing Law

These Terms shall be governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Any dispute shall be resolved in the state or federal courts located in Florida.
